Terms of Service

1. Introduction

Welcome to BookWave. These Terms of Service (“Terms”) govern your access to and use of the BookWave platform, including our website, dashboard, public booking pages, and all associated services (collectively, the “Service”). By creating an account or using BookWave in any way, you agree to be bound by these Terms. If you do not agree, do not use the Service.

References to “BookWave,” “we,” “us,” or “our” mean the BookWave platform operator. References to “you” or “your” mean the individual or business entity using the Service.

2. Eligibility

You must be at least 18 years old and capable of entering a legally binding agreement to use BookWave. By using the Service, you represent that you meet these requirements. If you are using BookWave on behalf of a business, you represent that you have the authority to bind that business to these Terms.

3. Account Registration

To access most features of BookWave you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep that information up-to-date. You are solely responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activity that occurs under your account, whether or not authorized by you.
  • Notifying us immediately at your BookWave support channel if you suspect unauthorized access.

BookWave is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Subscription Plans and Billing

BookWave offers Free, Standard, and Pro subscription tiers. Paid plans are billed on a recurring monthly basis unless you cancel before the next billing cycle. By providing payment information, you authorize us to charge the applicable fees to your chosen payment method on each renewal date.

Prices are listed in USD and are subject to change. We will give you at least 30 days’ notice of any price changes via email or in-app notification before they take effect. Continued use of the Service after a price change constitutes your acceptance of the new pricing.

Applicable taxes may be added to your invoice depending on your jurisdiction. All fees are non-refundable except as described in our Refund Policy or as required by law.

5. Cancellation and Downgrade

You may cancel or downgrade your subscription at any time from your dashboard settings. Cancellation takes effect at the end of your current billing period. After cancellation, your account will revert to the Free plan and you will retain access to data within Free-tier limits. Data exceeding those limits may become inaccessible but will not be immediately deleted.

6. Acceptable Use

You agree to use BookWave only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service for any fraudulent, deceptive, or illegal purpose.
  • Collect or harvest personal data of other users without their consent.
  • Upload or transmit malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to any system.
  • Attempt to probe, scan, or test the vulnerability of the Service or bypass any security controls.
  • Resell, sublicense, or otherwise commercially exploit the Service without written permission.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Engage in conduct that restricts or inhibits any other user from using or enjoying the Service.

BookWave reserves the right to suspend or terminate accounts that violate these rules without prior notice.

7. Your Data

You retain full ownership of all business data, customer records, and content you upload to or create within the Service (“Your Data”). By using BookWave, you grant us a limited, non-exclusive, worldwide license to store, process, and display Your Data solely to operate and improve the Service.

We will not sell Your Data to third parties. Our data handling practices are described in detail in our Privacy Policy.

8. Intellectual Property

The BookWave platform, logo, design, software, and documentation are the intellectual property of BookWave and its licensors. These Terms do not grant you any rights to our trademarks, service marks, or trade names. You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying code.

9. Third-Party Integrations

The Service may integrate with third-party services such as payment processors, calendar providers, and communication tools (“Third-Party Services”). Your use of those services is governed by their own terms and privacy policies. BookWave is not responsible for the practices or content of any Third-Party Services.

10. Service Availability

We aim to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We may perform maintenance, updates, or modifications that temporarily affect availability. We will make reasonable efforts to notify you of planned downtime in advance.

11. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet your specific requirements or that any errors will be corrected.

12. Limitation of Liability

To the maximum extent permitted by applicable law, BookWave and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service, even if advised of the possibility of such damages.

Our total cumulative liability to you for any claims relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim or (b) USD $50.

13. Indemnification

You agree to indemnify, defend, and hold harmless BookWave and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, Your Data, or your violation of these Terms.

14. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if we believe you have violated these Terms or if required by law. Upon termination, your right to access the Service ceases. We may retain Your Data for a limited period for legal, audit, or dispute-resolution purposes before deletion.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page and notify you by email or in-app notification for material changes. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of the changes.

16. Governing Law

These Terms are governed by and construed in accordance with applicable laws, without regard to conflict-of-law principles. Any disputes arising from these Terms or your use of the Service will be resolved through binding arbitration or in courts of competent jurisdiction, as applicable.
